1. Who we are and what these terms cover

RocketKind is operated by RAIA Platforms, Inc. ("we", "us"), a Delaware corporation. RocketKind is a hosted platform for building, running and governing AI agents, workflows, data and APIs, available at https://app.rocketkind.ai (the "Service"), together with this website at https://rocketkind.ai.

These Terms of Service (the "Terms") are a binding agreement between us and the organization or person that creates an account or uses the Service ("you", the "Customer"). By creating an account, clicking to accept, or using the Service, you agree to them.

Who these Terms apply to. There are two kinds of account. If you use the Service on behalf of an organization (a company or other legal entity), you confirm that you are authorized to bind it, and "you" and the "Customer" mean that organization. If you sign up as an individual, for your own personal purposes, you get a personal workspace that belongs to no organization, and you are the Customer for it. The whole of these Terms applies to both; section 15 adds what applies only to individuals, including the rights consumer law gives you.

The Privacy Policy explains how we handle personal data, and the Refund & Cancellation Policy explains refunds and plan cancellation. Both form part of these Terms.

If you have signed a separate written agreement with us, such as a pilot agreement, an order form or an enterprise agreement, that agreement governs your use of the Service and controls over these Terms wherever the two differ.

2. Accounts and security

You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service. The Service is not for children. You sign in with an email address and password, with a one-time code we email you, or through the single sign-on or identity provider your organization connects. You are responsible for everything done through your account and, for an organization, through its accounts, for every person you invite to them, and for their compliance with these Terms. Keep your credentials, API keys and access keys confidential, and tell us promptly at [email protected] if you suspect an account, key or credential has been compromised.

The information you give us about yourself, your organization and its users must be accurate, and you must keep it current.

3. Acceptable use

You will not, and will not allow anyone else to:

  • reverse engineer, decompile or attempt to discover the source code, underlying ideas or algorithms of the Service, except to the extent applicable law prohibits this restriction;
  • sell, resell, rent, lend, sublicense or otherwise provide the Service to anyone outside your organization, or, for an individual account, to anyone else;
  • copy, modify or create derivative works of the Service, or remove any proprietary notice;
  • interfere with the operation of the Service, degrade its performance, circumvent its access restrictions, or conduct security or vulnerability testing on it without our prior written consent;
  • access accounts, data or parts of the Service you are not explicitly authorized to access;
  • use the Service to gain unauthorized access to anyone else's systems, networks or data;
  • use the Service, or non-public information about it, to build a competing product or service, or to train or improve an AI model that competes with the Service;
  • submit content you do not have the right to submit, or content that is unlawful, infringing, defamatory or malicious, including malware;
  • use the Service to send unsolicited messages (spam), to harass, defraud or deceive anyone, or to generate content that violates applicable law;
  • use the Service in any high-risk activity: a situation where its use or failure could reasonably be expected to lead to death, bodily injury or environmental damage, such as autonomous vehicles, medical life-support, emergency response, nuclear facilities or air traffic control;
  • use the Service in violation of applicable law, including export control and sanctions laws.

Where you connect the Service to a third-party model provider or application, you must also comply with that provider's terms and usage policies.

4. Your content and confidentiality

"Customer Content" means the data, information and materials you or your users submit to the Service: workflows, agent definitions, conversations, prompts, files, connected data and the outputs the Service generates for you from them. As between you and us, you own your Customer Content. We may copy, store, process and display it only as needed to provide, secure and maintain the Service and to meet our legal obligations.

We do not use your Customer Content to train AI models. Platform-provided models are run on our account with a provider that does not train on the inputs and outputs of that service (see Third-party services).

Non-public Customer Content is your confidential information. Non-public information about the Service, including its design, prompts, templates and security documentation, is ours. Each of us will protect the other's confidential information with at least reasonable care, use it only to perform under these Terms, and disclose it only to people who need it and are bound by comparable obligations, or where the law requires disclosure (with notice to the other side where legally permitted). This does not cover information that is or becomes public through no fault of the receiving party, was already known to it, was lawfully received from someone else, or was developed independently.

Retention and deletion. An organization configures how long runs, conversations and other data are kept, within the options the Service offers; for a personal workspace, the Service applies its own retention periods unless it offers you a choice. Audit logs record who did what in your workspace. We delete your Customer Content within 30 days of a verified deletion request, and within 30 days after your account closes, except that copies in database backups may persist for up to 14 days after deletion, and except where the law requires us to keep them.

We may collect and analyze data about how the Service is used (performance, feature use, volumes), and use it to operate, secure, improve and promote the Service, provided that, apart from the providers that process it for us as the Privacy Policy describes, we disclose it to others only in aggregate form that does not identify you or your users.

5. AI output and agent actions

The Service uses large language models and other AI systems to generate text, decisions and actions. Their output is probabilistic and may be inaccurate, incomplete, biased or inappropriate, and may not reflect our views. You are responsible for reviewing output before relying on it, and for deciding whether it is suitable for your purpose. Do not use output as a substitute for professional advice (legal, medical, financial or otherwise).

Agents and workflows you configure can take actions in systems you connect: send messages, update records, call APIs, spend money. You are responsible for the actions your agents and workflows take, for the guardrails, approvals, permissions and spend limits you set around them, for the credentials and connections you give them, and for the consequences of their actions in your systems and with third parties. Limits in the Service are checked as work runs; calls already in flight may finish after a limit is crossed.

Output generated for you from your Customer Content is Customer Content. Because models generate similar output for similar inputs, output may not be unique to you, and we make no promise that it is original or does not infringe third-party rights.

6. Third-party services

Platform-provided models run on Amazon Bedrock, on our account, in the United States. Under AWS's published data policy for Amazon Bedrock, the inputs and outputs of these models are not used to train its models.

Your own providers and apps. You may connect your own model providers (with your own keys) and third-party applications through the Service's connectors. When you do, we send your data to that provider as instructed by your configuration, and its handling of that data is governed by that provider's terms and privacy policy, not ours. We are not responsible for third-party services, their availability, their output or their charges. Your relationship with them is yours.

The Service also depends on infrastructure providers we choose, such as Amazon Web Services for hosting and Stripe for payment. They are listed as sub-processors in the Privacy Policy.

7. Credits, plans and payment

7.1 Credits

Use of the Service is metered in prepaid credits, bought in US dollars. Work that the Service runs on your behalf, such as model calls on platform-provided models, workflow and agent runs, and storage, is charged in credits at the rates published in the Service. The price of a credit, the rates for each kind of work, the trial credits and the trial period, the plans and their prices and monthly credit allowances, the credit packs and any bonus they carry, how long purchased credits last, an organization's daily fees, and the overdraft we allow are shown in the Service, on its Billing page, and anything you pay for is priced before you pay. Any of them may change prospectively: a change applies to purchases made, and to use, after it takes effect, never to credits already purchased or work already run. Questions about billing, plans and automatic top-up go to [email protected].

7.2 Trial

A new account, whether an organization's or an individual's, receives trial credits when it is created. They expire at the end of a trial period; the amount and the period are shown in the Service when they are granted. Until the trial ends you may use the Service on those credits; when it ends, new work needs an active plan (section 7.3). Trial credits, and any promotional credits we grant, have no cash value, cannot be refunded, transferred or exchanged, and may be withdrawn if we find they were obtained by abuse (for example, by creating repeated accounts).

7.3 Plans

After the trial, running new work on the Service, such as workflow runs, agent turns and use of the assistant, requires an active plan: a monthly subscription that grants a stated number of credits each month for a stated monthly price. The plans available to you, their prices and their credit allowances are shown in the Service and before you subscribe. A plan renews automatically every month until cancelled. Its credits are granted at the start of each billing period and expire at the end of that period: unused plan credits do not roll over. If you move to a higher plan mid-period, the difference in credits, for the share of the period left, is granted at once and charged at the prorated price; if you move to a lower plan, no further credits are granted until the next period. You change plans and cancel in the billing portal; cancellation takes effect at the end of the current billing period, and you keep the plan and its credits until then. Where a plan's price changes, we tell you before the change applies to your next renewal. Where we accept a promotion code on a plan, the discount lowers the plan's price and never changes the credits the plan grants.

Without an active plan, whether before you choose one, after a cancellation takes effect or while a renewal payment has failed, new work is refused. Your existing data stays readable and exportable from the Service, and section 7.7 says what happens if the account stays without a plan.

7.4 Credit packs and automatic top-up

While your plan is active, you may buy additional credits as credit packs, by card through Stripe Checkout, from the minimum purchase shown in the Service; the price of the credits you are buying is shown before you pay. A larger pack may carry bonus credits, shown with it: the paid and bonus credits are granted together, and a refund or chargeback of the purchase takes back its share of the bonus along with the paid credits (section 7.9). Purchased credits are kept separately from plan credits and expire a stated period after purchase, shown in the Service when you buy. If you enable automatic top-up, we charge your saved card for the amount you chose whenever your balance falls below the threshold you set, once per dip below it. Automatic top-up runs only while your plan is active; without one it is paused and nothing is charged. After a number of failed charges in a row, shown in the Service, we switch automatic top-up off and tell you. You can change the amount or the threshold, or turn it off, at any time.

7.5 Organization fees

An organization pays a daily organization fee and a daily member fee for each joined member beyond the number included, in credits; the rates and the included number are shown in the Service. The fees are charged only while the organization's plan is active, not during its trial and not while it has no plan, and are drawn from its balance like any other use. A person counts as a member once they have joined the organization; pending invitations and service accounts do not count. An individual account pays neither fee.

7.6 When credits run out

We allow a small overdraft below zero, of the size shown in the Service; past it, new metered work is refused until you buy a credit pack or your next plan grant arrives. Work already running may finish. The overdraft is repaid first from your next grant or purchase.

7.7 If the account stays without a plan

When your trial ends, or your plan ends through cancellation or a failed payment, and no active plan replaces it, the account lapses. If it still has no active plan 30 days after its trial or plan ended, we deactivate it: its members, or you for an individual account, can no longer sign in, and no work runs. We warn the organization's administrators, or you, by email before the deactivation, and choosing a plan at any time before then keeps the account open. A deactivated account is closed for the purposes of these Terms, and we delete its Customer Content as section 4 describes, so export what you need before then. Deactivation under this section is not a termination for convenience: unused credits are not refunded, apart from a consumer's right of withdrawal under section 15.4.

7.8 Payment and taxes

Payments are made by card through Stripe, in US dollars. We never store your full card number. Your saved card, invoices, plan changes and cancellation are managed in the billing portal, opened from the Service. Prices exclude taxes; you are responsible for any sales, use, VAT, GST, withholding or similar taxes that apply, other than taxes on our income. Where we are required to collect a tax, we add it to the charge.

7.9 Refunds, chargebacks and disputes

Purchases (credit packs, automatic top-ups and plan fees) are non-refundable, except where the law requires a refund and except in two cases: a duplicate or additional charge made in error, which we refund when it is reported to us within 30 days of the charge; and our termination of the Service or of your account for convenience, on which we refund the unused purchased credits on the account (see Suspension and termination). An individual may also withdraw from their plan, once, within 14 days of their first plan payment, and an individual consumer in the European Economic Area or the United Kingdom from a credit pack within 14 days of buying it and from each new plan contract; in each case the unused share is refunded (see section 15.4). Otherwise, unused credits are not refunded when you cancel. The Refund & Cancellation Policy states this in full. A refund or a chargeback reverses the credits the payment granted, any bonus credits included; if those credits have already been used, your balance goes negative and new work is refused until it is settled. Report a billing error to [email protected] before disputing a charge with your card issuer, and within 30 days of the charge.

7.10 Contract customers

An organization on a contract agreed with our sales team is billed as that agreement says. The trial, plans, credit packs, automatic top-up, organization fees and deactivation of an account that has no plan in this section do not apply to it, and the agreement's terms control over this section.

8. Intellectual property

We and our licensors own the Service and everything in it: its software, design, prompts, templates, documentation and the materials we build or configure for you, together with all improvements and modifications, by whomever made ("Provider Materials"). Provider Materials exclude your Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business purposes, or, for an individual account, for your own personal purposes, while your account is open. We grant no other rights, by implication, estoppel or otherwise, and reserve all rights not expressly granted.

If you give us feedback or suggestions, we may use them freely without obligation to you.

Our names, logos and marks are ours. You may not use them without our prior written consent.

9. Suspension and termination

We may suspend your or a user's access to the Service immediately if we reasonably believe that you or a user has breached Acceptable use, that continued access poses a security risk to the Service, to us or to anyone else, or that a payment is overdue or has been reversed. We will tell you promptly of the suspension and its reason, keep it no broader and no longer than reasonably necessary, and restore access once the cause is resolved. We are not liable for a suspension made in accordance with this section.

You may stop using the Service and close your account at any time. Either of us may terminate these Terms on notice if the other materially breaches them and does not cure the breach within 30 days of notice, or immediately if the breach cannot be cured. We may also terminate these Terms, or close your account, for convenience on 30 days' notice; if we do, and not for your breach, non-payment or a legal requirement, we refund the unused purchased credits on the account. Apart from a consumer's right of withdrawal under section 15.4, trial, promotional and plan credits are not refunded, and nothing is refunded when you cancel, when we deactivate an account that has stayed without a plan (section 7.7), or when we suspend or terminate for breach.

On termination your right to use the Service ends, amounts you owe become due, and we delete your Customer Content as described in Your content and confidentiality. The sections that by their nature should survive (including confidentiality, intellectual property, disclaimers, limitation of liability, indemnity and governing law) survive termination.

10. Warranty disclaimer

WE MAKE NO GUARANTEE THAT THE SERVICE WILL ALWAYS BE SAFE, SECURE OR ERROR-FREE, OR THAT IT WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS OR IMPERFECTIONS, OR THAT AI OUTPUT WILL BE ACCURATE OR FIT FOR ANY PURPOSE. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THESE DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11. Limitation of liability

General cap. Each party's total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of the fees you paid us in the twelve months immediately before the event giving rise to the claim and US$100.

Damages waiver. Under no circumstances will either party be liable to the other for lost profits or revenues (whether direct or indirect), or for consequential, special, indirect, exemplary, punitive or incidental damages relating to these Terms, even if informed of the possibility of such damages in advance.

Exceptions. The cap and the waiver do not apply to your payment obligations, to your breach of Acceptable use, or to your indemnity obligations.

These limitations apply to all liability, whether in contract, tort (including negligence), breach of statutory duty or otherwise, but nothing in these Terms limits or excludes liability to the extent applicable law prohibits that.

12. Indemnity

You will defend us and our officers, directors, employees and contractors against any third-party claim, and pay the resulting damages, costs and reasonable legal fees, to the extent it arises from your Customer Content, from the actions of the agents and workflows you configure, from your use of the Service in breach of these Terms or of applicable law, or from your use of a third-party service you connected. We will give you prompt notice of the claim, let you control its defense and settlement (except that you may not settle in a way that imposes obligations on us or admits fault on our behalf without our consent), and give you reasonable assistance at your expense.

13. Changes to these terms

We may update these Terms as the Service and the law change. When we do, we post the new version here with a new "Last updated" date, and for a material change we notify your organization's administrators, or you at your account's email address if you are an individual, by email or in the Service at least 14 days before it takes effect. Continued use of the Service after the change takes effect means you accept it; if you do not, stop using the Service and close your account before then. A change does not apply retroactively to a dispute that arose before it took effect.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws provisions. Any legal suit, action or proceeding relating to these Terms or the Service must be brought in the state or federal courts located in Delaware, and each party irrevocably submits to their exclusive jurisdiction. Despite this, either party may seek equitable relief, including an injunction, in any court of competent jurisdiction for an actual or threatened breach of confidentiality or violation of its intellectual property rights. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply. If you are an individual consumer, section 15 limits this section.

15. If you use RocketKind as an individual

This section applies if you use the Service as an individual, for your own personal purposes, in a personal workspace that belongs to no organization (a "consumer"). It adds to the rest of these Terms and controls over them where the two differ.

15.1 Who may sign up

You must be at least 18 years old, or the age of majority where you live if that is higher. The Service is not directed to children, and we close an account we learn belongs to someone younger.

15.2 Your credits

Your personal workspace is prepaid in credits, as described in section 7. When you sign up you receive trial credits, which expire at the end of a trial period; the amount and the period are shown in the Service. Trial credits have no cash value. After the trial, new work needs an active plan: the plans offered to individuals, their prices and their monthly credit allowances are shown in the Service and before you subscribe, and plan credits expire at the end of each billing period. While your plan is active, you may buy credit packs by card through Stripe Checkout, from the minimum purchase shown in the Service and at the price shown before you pay, and you may turn automatic top-up of a saved card on and off at any time; purchased credits expire a stated period after purchase. You pay no organization or member fees. Your balance may go a small way below zero, by the amount shown in the Service; past that, new metered work is refused until your next plan grant or credit pack, which repays the overdraft first. If your account stays without a plan for 30 days after your trial or plan ends, we deactivate it after warning you by email, as section 7.7 describes; you can export your content before then (section 15.5).

15.3 Your statutory rights

Nothing in these Terms excludes or limits a right that the consumer-protection law of the country where you live gives you and that cannot be waived by agreement. In particular, section 10 (Warranty disclaimer), section 11 (Limitation of liability), section 12 (Indemnity) and section 14 (Governing law and disputes) apply to you only to the extent that law allows. If you live in the European Economic Area, the United Kingdom or Switzerland, you also keep the protection of the mandatory provisions of the law of your country of residence, and you may bring a claim against us in the courts of that country; we may bring a claim against you only there.

15.4 Withdrawing from your plan or a credit pack

Wherever you live, you may withdraw from your plan once, within 14 days of your first plan payment and while the plan is active, on the Billing page in the Service or by writing to [email protected] before those days end (if the Service cannot complete it there, write to us). Your first plan payment is the first plan charge that took money from your card; a period paid entirely by a promotion code, or by a balance already on your billing account, is not a payment. Your plan ends at once, and within 14 days we refund to the original payment method the unused share of each plan payment you made in that window: for each payment, the same share of it as the share of its credits you have not used, rounded down to the cent. When you subscribe you ask us, in the checkout, to make the credits available and start providing the Service at once, and you acknowledge that what you use before you withdraw is paid for in proportion and is not refunded. Your account stays open. A renewal or a plan change does not open a new window; an upgrade paid inside the window is refunded with the rest. If you live in the European Economic Area or the United Kingdom, each new plan contract, taken out after an earlier plan ended, also carries the statutory right to withdraw from it within 14 days by writing to us, refunded in the same way.

If you live in the European Economic Area or the United Kingdom, you may also withdraw from a credit pack purchase, including an automatic top-up, within 14 days of it, without giving a reason, by writing to [email protected]. When you buy a pack you ask us, in the checkout, to make the credits available and start providing the Service at once, and you acknowledge that what you use before you withdraw is paid for in proportion and is not refunded; we refund the price of the unused credits from that purchase within 14 days. The Refund & Cancellation Policyexplains how and carries a model withdrawal form, whose use is optional. Nothing in this section limits a right you have under mandatory consumer law where you live (section 15.3).

15.5 Your content and closing your account

The workflows, agents, data, files and conversations you put into your workspace are yours: we store and process them only to provide the Service as you direct it, never for our own purposes such as training models or marketing, and if they contain other people's personal data you are responsible for having the right to use it there (the Privacy Policy sets out what we are responsible for). You may stop using the Service and close your personal account at any time by writing to [email protected]. Before you do, or at any other time, you may ask us for a copy of the content in your workspace in a portable form, and you may ask us to delete it. We delete your Customer Content within 30 days after your account closes, as section 4 describes. Unused credits are not paid out when you close your account, except as section 9 and section 15.4 provide.

16. Notices and general terms

Notices to us go to [email protected] or to RAIA Platforms, Inc., 1111B S Governors Ave, Suite 88189, Dover, DE 19904, US. Notices to you go to the email addresses of your organization's administrators, or, for an individual account, to your account's email address. A notice is deemed given on confirmed delivery.

These Terms, with the documents they reference and any separate written agreement between us, are the entire agreement about their subject and supersede prior statements about it. Terms in your purchase order or vendor portal do not apply unless we sign them. If a provision is held unenforceable, it is limited to the minimum extent necessary and the rest stays in effect. A waiver must be in writing; a failure to enforce is not a waiver. You may not assign these Terms without our written consent; we may assign them on notice in a merger, reorganization or sale of all or substantially all of the assets to which they relate. We are independent contractors, and there are no third-party beneficiaries. Neither party is liable for a delay or failure caused by an event outside its reasonable control, such as a natural disaster, war, pandemic or failure of a public utility or the internet, but this does not excuse your obligation to pay.

17. Contact
